These Terms of Service (“Terms”) govern your access to and use of Neriyam ERP and related services provided by Kenforte Infosystems Private Limited (“we”, “us”, “our”). By creating an account or using Neriyam, you agree to these Terms.

1. Acceptance of terms

By accessing or using Neriyam, you confirm that you:

  • Are at least 18 years of age (or the age of majority in your jurisdiction)
  • Have the authority to bind your organization to these Terms
  • Will comply with these Terms and all applicable laws

If you do not agree to these Terms, do not use Neriyam.

2. Description of service

Neriyam is a cloud-hosted Enterprise Resource Planning (ERP) application for small-to-mid manufacturers. Features include order management, inventory, purchasing, manufacturing, and reporting. Specific features available depend on your subscription plan.

3. Accounts and access

  • Account creation — You provide accurate information when creating an account. You are responsible for keeping your credentials secure.
  • User invitations — Organization administrators may invite additional users. The administrator is responsible for ensuring invitees agree to these Terms.
  • Authentication — You must not share your password or allow others to access your account.
  • Account termination — We may suspend or terminate accounts that violate these Terms or pose a security risk.

4. Acceptable use

You agree not to:

  • Use Neriyam for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to other accounts, organizations, or systems
  • Interfere with or disrupt the integrity or performance of the service
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated systems (bots, scrapers) to access the service except via documented APIs
  • Transmit malware, viruses, or other harmful code
  • Use the service to transmit spam or unsolicited communications
  • Attempt to overwhelm or load-test our infrastructure without prior authorization
  • Resell or sublicense the service without a written agreement

5. Your data

  • Ownership — You retain all rights to the data you enter into Neriyam (“Customer Data”).
  • License to us — You grant us a limited license to host, process, and display Customer Data solely to provide the service to you.
  • Backup and security — We take reasonable measures to protect Customer Data, but you are responsible for maintaining your own backups for critical data.
  • Data export — You may export your data at any time during an active subscription. After termination, see “Data retention” in our Privacy Policy.

6. Subscription, fees, and payment

  • Plans — Specific plans, features, and pricing are presented at the time of subscription.
  • Billing — Subscriptions are billed in advance. Fees are non-refundable except as required by law.
  • Late payment — Accounts with overdue payments may be suspended after notice.
  • Price changes — We may change pricing with at least 30 days' notice for the next billing cycle.
  • Taxes — Fees are exclusive of applicable taxes (GST, VAT, etc.). You are responsible for taxes other than our income tax.

7. Service availability and changes

  • We aim for high availability but do not guarantee uninterrupted service.
  • Planned maintenance will be announced where possible.
  • We may modify, suspend, or discontinue features. Material changes affecting paid features will be announced with reasonable notice.
  • Beta features are provided “as is” and may be removed or changed at any time.

8. Intellectual property

  • Neriyam, its software, design, branding, and documentation are owned by Kenforte Infosystems Private Limited.
  • These Terms do not transfer any intellectual property rights to you, except as expressly granted in your subscription.
  • You may not copy, modify, distribute, or create derivative works of Neriyam without written permission.

9. Confidentiality

Each party will protect the other's confidential information using reasonable care and will not disclose it except as needed to perform under these Terms or as required by law.

10. Disclaimer of warranties

Neriyam is provided “as is” and “as available” without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The service will be uninterrupted, error-free, or completely secure
  • The results obtained from using the service will be accurate or reliable
  • Defects will be corrected immediately

11. Limitation of liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising out of or relating to these Terms or the service is limited to the amount you paid us in the 12 months preceding the claim.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

This limitation applies regardless of the legal theory of the claim.

12. Indemnification

You agree to indemnify and hold harmless Kenforte Infosystems Private Limited and its affiliates from claims, damages, and expenses arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third party's rights
  • Customer Data you upload or transmit

13. Termination

  • By you — You may terminate your subscription at any time through your account settings or by writing to us.
  • By us — We may terminate or suspend your account for material breach of these Terms, non-payment, or risk to the service or other users.
  • Effect of termination — Your access ends. We retain Customer Data per our Privacy Policy.

14. Governing law and disputes

  • These Terms are governed by the laws of India, without regard to conflict of laws principles.
  • Any disputes will be resolved in the courts of Coimbatore, Tamil Nadu, India.
  • Both parties agree to attempt good-faith resolution before initiating legal proceedings.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be notified via email to active account holders at least 30 days before the change takes effect. Continued use after the effective date constitutes acceptance of the updated Terms.

16. Miscellaneous

  • Entire agreement — These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding Neriyam.
  • Severability — If any provision is unenforceable, the remaining provisions remain in effect.
  • No waiver — Failure to enforce any right does not waive it.
  • Assignment — You may not assign these Terms without our written consent. We may assign these Terms in connection with a business transfer.
